Welcome to ConekPro. These Terms of Service (“Terms”) govern your access to and use of the ConekPro platform, including our websites, mobile applications, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. About ConekPro
ConekPro is a business-to-business collaboration platform that connects property managers, facility owners, and other clients (“Clients”) with contractors, service providers, and businesses (“Contractors”) across Alabama, Georgia, Tennessee, and other service areas. ConekPro provides tools for work requests, proposals, task management, invoicing, communication, and related functions to facilitate business relationships between Clients and Contractors.
2. Marketplace Disclaimer
ConekPro operates as a marketplace and communication platform. We facilitate connections and transactions between Clients and Contractors but are not a party to any agreement, contract, or transaction between users. ConekPro does not employ, recommend, endorse, or guarantee any Contractor or Client. We do not control the quality, safety, legality, or timeliness of work performed, the truth or accuracy of listings or proposals, or the ability of Contractors to perform services or Clients to pay for them. Users are solely responsible for evaluating and entering into transactions with other users.
3. Eligibility and Account Registration
You must be at least 18 years old and capable of forming a binding contract to use the Service. When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. ConekPro reserves the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.
4. User Conduct
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) post false, misleading, or fraudulent content; (c) harass, threaten, or intimidate other users; (d) infringe on the intellectual property or privacy rights of others; (e) distribute spam, malware, or other harmful content; (f) interfere with or disrupt the Service or servers; (g) attempt to gain unauthorized access to any part of the Service; or (h) use the Service for any purpose other than its intended business-to-business use.
5. Work Requests and Proposals (RFPs)
Clients may submit work requests or respond to requests for proposals (“RFPs”) through the Service. Contractors may submit proposals, bids, or responses to work requests. Submission of a work request or proposal does not create a binding obligation. A binding agreement between a Client and Contractor is formed only when both parties explicitly accept the terms of an engagement through the Service or by other mutual agreement. ConekPro is not responsible for any disputes arising from work requests, proposals, negotiations, or the performance of services.
6. Payments and Invoicing
The Service provides tools for creating and managing invoices between Clients and Contractors. All payment terms, amounts, schedules, and methods are determined solely between the Client and Contractor. ConekPro does not process payments between users, does not hold funds in escrow, and is not responsible for non-payment, late payment, or payment disputes between users. Users are responsible for their own tax obligations arising from transactions conducted through the Service.
7. Subscription and Fees
Certain features of the Service may require a paid subscription. Subscription plans, pricing, and features are described on our website and may be updated from time to time. By subscribing, you agree to pay the applicable fees. Subscriptions automatically renew unless cancelled before the renewal date. Refunds are handled in accordance with our refund policy, which is available upon request.
8. Content and Intellectual Property
You retain ownership of content you submit through the Service (“User Content”), including text, images, documents, and other materials. By submitting User Content, you grant ConekPro a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content in connection with operating and improving the Service. You represent that you have the right to submit any User Content you provide and that it does not violate the rights of any third party. ConekPro and its logos, designs, and software are the property of ConekPro and are protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and disclose your information. By using the Service, you consent to the practices described in the Privacy Policy.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONEKPRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, ANY TRANSACTION BETWEEN USERS, OR THE PERFORMANCE OR NON-PERFORMANCE OF SERVICES BY ANY CONTRACTOR. CONEKPRO’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO CONEKPRO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless ConekPro, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law; or (e) any dispute between you and another user of the Service.
12. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Jefferson County, Alabama. You agree to waive any right to a jury trial or to participate in a class action. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction.
13. Account Termination
You may deactivate your account at any time through the Service or by contacting us. ConekPro reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, fraudulent activity, non-payment of fees, abusive behavior toward other users, or extended period of inactivity. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 8, 10, 11, and 12.
14. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CONEKPRO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. CONEKPRO DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT PROVIDED THROUGH THE SERVICE, INCLUDING USER-GENERATED CONTENT, PROPOSALS, OR LISTINGS.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law provisions.
16. Changes to These Terms
ConekPro reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service or by email. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
